Welcome to Good Monday! These terms and conditions describe your rights and responsibilities when using our services and platform as well as purchasing goods from us (collectively the “services”)

The essence of our terms and conditions:

  • You can cancel your Good Monday account at any time you want.

  • If you have chosen a subscription which include human activity (i.e. cleaning) please note there will be a 30 day (by the end of a month) binding agreement

These terms and conditions will be more detailed down below, but the two bullet points are the essence of these 8 pages. Please read these terms and conditions carefully, because by using Good Monday, you are agreeing to them. If you do not agree to the terms and conditions, do not use Good Monday.

1. Scope of Applicability

a. Scope of these terms and conditions

These terms and conditions apply to all services provided by Good Monday notwithstanding any conflicting, contrary or additional terms and conditions in any purchase order or other communication. No such conflicting, contrary or additional terms and conditions shall be deemed accepted by us unless and until we expressly confirm our acceptance in writing.

Payment and Fees

a. Prices

The prices for services shall be those set forth in our order confirmation. All prices are exclusive of taxes, impositions and other charges, including, but not limited to, sales, use, excise, value added, and similar taxes or charges imposed by any government authority.

b. Subscriptions

Some of our services are billed on a subscription basis (these we call “subscriptions”). Subscriptions could be cleaning service, a fruit service or similar recurring services. The fixed fee will be billed in advance on a recurring, periodic basis and withdrawn from credit card 30 days later.

You must submit such financial information as may be reasonably requested by us from time to time for the establishment or continuation of payment.

c. Sky’s the limit orders (ad hoc orders)

At Good Monday the sky is the limit. That means that you can order services on ad hoc basis. These purchases will be billed and withdrawn from credit card upon shipment.

d. Payment via bank transfer

If you really want to pay via bank transfer, please note there is a fee of DKK 75. When paying via bank transfer, you must pay ad hoc orders within 8 days from billing date and subscriptions within 30 days from billing date.

e. Price adjustments

All prices for services and subscriptions are adjusted annually on the 1st of January by the changes to the Danish consumer price index (nettoprisindekset) from Danmarks Statistik, in any event minimum 3% p.a. If the consumer price index is terminated or changes, price adjustments shall be made against another index, which monitor the Danish general price fluctuation.

3. Delivery

Delivery is made with a variety of couriers, including, but not limited to, GLS and PostNord. The delivery price depends on geographical location, the character of the product in question, weight, size etc. The price of transportation is stated at the time of purchase of the individual item.

If a product is out of stock, delivery will normally be within 2-4 weeks. If the item is in stock, we strive to deliver within 14 days.

Delivery is made within the normal working hours (9am - 4pm) to the curb if delivered to the address. As a general rule, goods are not carried higher than ground level.

4. Account Management

a. Keep Your Password Secure

You are responsible for protecting your password and any other information used to access your account with Good Monday. You and only you as are accountable for any activity through your account (unless Good Monday is directly responsible for that activity without your instructions). If you observe any unauthorised access to your account, you must notify Good Monday at once.

b. Keep Your Details Accurate

Good Monday may send notifications to the email address which is linked to your account. It is therefore important that your contact details, payment details and email address with your account are up to date. Accounts are controlled by the employee/contact person whose email address is registered.

c. Customer Success

Good Monday may appoint you a customer success representative (which we call a “CSR”). In order to provide better service, the CSR may review your use of the services and your content.

d. Power of attorney

By accepting these terms of conditions, you and your company/organisation provides Good Monday a full power of attorney to act on your behalf in relation to the services and any other service agreements, which Good Monday is instructed to handle for you as part of providing a service to you. We will never cancel or terminate any of your existing agreements unless you want us to.

5. Acceptable Uses

a. Legal compliance

You guarantee you will follow all laws and regulations there are applicable to your use for the provision of services which Good Monday provides.

b. Your Responsibilities

You also represent and guarantee that:

(a) You shall not acquire, access or use our platform as well as our service for the reasons of establishing a similar service or for any other competitive aims.

(b) You shall not lease or resell the services we provide to you to somebody else, unless you have a written agreement with Good Monday.

c) You shall pay all due amounts to Good Monday timely, and if you don’t we will charge you DKK 150 as a reminder plus interests of 1.2% per commenced month until payment is made.

6. Suspension and termination of services

a. By you

You can cancel your Good Monday account at any time you want but if you have chosen a subscription which includes human activity (i.e. cleaning service) please note that you must give at least 30 days cancellation notice to the end of a month.

Some subscriptions may be put on hold. Please contact Customer Care if you are interested in that.

b. By Good Monday

Good Monday may terminate your subscription at the end of a month by providing at least 30 days’ prior written notice to you at the end of the month. Good Monday may also suspend your access to the platform if you breach these terms and conditions. In case of late payment Good Monday may suspend your subscription without warning until payment has been made. In case of continuous non-payment, we may cancel your contract. Additionally if a contract between Good Monday and a client is suspended, a client can’t claim any financial or any other claims against Good Monday.

7. Changes and updates

a. Changes to terms and conditions

Good Monday may update these terms and conditions once in a while for a number of reasons for example changes in applicable law or updates to services we provide. All changes will be effective from the day they are posted on the Good Monday website. If applicable law require Good Monday to obtain your explicit consent to any changes to services or terms and conditions, Good Monday will send notification to your account email. If you do not agree to any changes, please stop using Good Monday.

b. Changes to services

Good Monday changes and improves the platform and our services time to time. Therefore Good Monday may limit, suspend or discontinue a service at its discretion. If Good Monday discontinues a service which you have subscripted to, we will notify you in advance.

8. Faulty services and goods

If you experience defects of goods or service levels below expectation, let us know without undue delay, and we will look into the matter. In case of repeat dissatisfaction with service levels, we may replace service provider for you.

If you buy goods from us, you have a 12 months’ right of complaint. If the goods are resold, rented out or otherwise used in services or goods in your line of business, or if the defect is caused by your own actions, the right of complaint is void.

You must notify us immediately when you (should) have discovered a defect. If the complaint is justified, and we accept your product for return, we will handle the return at our cost. The goods must always be returned in proper packaging.

We do not receive return goods unless prior agreement has been made between us.

9. Confidentiality and communication

Neither you or we may disclose confidential information to third parties (including subcontractors) unless this is necessary for the performance of the services. In the case of information disclosure, the other party must be informed thereof and third parties (including subcontractors) are required not to disclose the confidential information. The confidentiality obligation applies one year after the termination of the service agreement.

Regardless of the above, you must accept that Good Monday may use name, logo, customer case stories on our website and in other marketing material and as a reference.

By agreeing to these terms and conditions, you also confirm that Good Monday, also after the termination of the service agreement, may send relevant advertising material via mail and mail. Naturally, you may withdraw this marketing consent at any time.

10. Priority and handover

In the event of any discrepancy between offers, previous agreements, etc. and these terms and conditions, the provisions of these terms and conditions shall prevail.

Neither you nor we may assign rights and obligations to third parties. However, we are both entitled to assign rights and obligations under our business relationship and these terms and conditions in connection with a business transfer, restructuring or the like.

11. Disclaimers and Limitations of Liability

a. Disclaimers

All machines and other material which is provided by Good Monday must be handled in accordance with Good Monday’s rules and instructions. If rules and instructions are not complied with, you may be liable for possible damages and depreciation. You must keep adequate insurance coverage for all machines and material.

Unless otherwise determined by mandatory law, Good Monday is not liable for any direct or indirect, special, incidental, consequential or punitive damages of any nature, including, but not limited to, business interruption costs, loss of profit, removal and/or reinstallation costs, reprocurement costs, loss of data, injury to reputation or loss of customers.

Your recovery from us for any claim shall not exceed the purchase price for the service(s) giving rise to such claim irrespective of the nature of the claim, whether in contract, tort, warranty or otherwise.

Good Monday disclaims to the furthest extent permissible by law the liability for actions of employees and sub-contractors during work, performed under the services. Good Monday furthermore disclaims, liability for damage caused while handling objects as well as damage caused by fire, scorching or explosion.

If delivered keys are lost by theft, loss or otherwise from Good Monday, and this is due to Good Monday's fault, Good Monday covers replacement costs/change of locks up to an amount of 20,000 DKK.

If Good Monday is liable, Good Monday's insurance covers damages and personal injury up to a maximum of 10,000,000 DKK.

b. Force Majeure

Good Monday is not responsible for failure to comply with obligations, including in the case of performing of services is postponed, delayed or prevented, which can be attributed to force majeure. Examples of force majeure are exceptional natural conditions, long processing times by authorities, energy shortage, stop for water supply, pest infestation, war, terror, fire, vandalism, IT breakdown, lack of sufficient labor, flooding and labor disputes.

12. Privacy Policy

Your private life is important for us. In order to ensure the protection of your privacy, we describe in our privacy policy on our website how we gather, process and use private and personal data collected about you.

By accepting these terms and conditions, you authorise the processing and disclosure of the relevant information in order for Good Monday and our collaborators to fulfil its contractual obligations.

Good Monday processes and treat your data carefully and you are always welcome to contact us to hear more about what information we have about you and our handling thereof.

We may gather some personal data upon your use of services. Good Monday may also need to register and pass on certain personal data in order to deliver goods and services, including name, address, telephone number, mail on employees etc. If Good Monday is to process personal data, a separate data processing agreement may be entered into. It is your responsibility to notify Good Monday of any access to personal data and to obtain sufficient consent from your employees for the processing of personal data.

Personal data is registered with Good Monday and stored for five years, after which the information is deleted. Good Monday collaborates with a number of companies that store and process data on behalf of Good Mondays. Good Monday only cooperates with data processors in the EU or in countries that can provide your information with adequate protection.

Anyone registered with Good Monday has the right to submit their objections to the registration, gain insight into the information registered (Article 15), the right to rectification (Article 16), the right of deletion (Article 17) and the right to data portability (Article 20). All rights and obligations follow the Danish Data Protection Regulation. Inquiries in this regard shall be sent to: hello@goodmonday.io.

13. Miscellaneous

No waiver of any provision of these general terms and conditions shall constitute a waiver of any other provision(s) or the same provision on another occasion. Failure by Good Monday to enforce any provision of these terms and conditions shall not constitute a waiver of such provision or any other provision(s).

Should any provision of these terms and conditions, in whole or in part, be held by a court of competent jurisdiction to be illegal, invalid or unenforceable, such provision may be modified by such court in compliance with the law giving effect to the intent of the parties and enforced as modified. All other terms and conditions shall remain in full force and effect and shall be construed in accordance with the modified provision.

Our cooperation, agreement and these terms and conditions are in all respects subjected to Danish law except the Danish conflict-of-law rules. In the event of a dispute between you and Good Monday, we shall start with positive, cooperative and responsible negotiations to resolve the disagreement. If necessary, the negotiations must be brought to a higher level of management in the parties’ organisations. If it is not possible to resolve the dispute through negotiations, each of us is entitled to bring the case for the Maritime and Commercial Court as a court of first instance in Denmark.
